Projects and Transactions
Our work in this area involves managing a complete range of transactions (local and cross-border) from M&A (both private and public), in the capital markets sphere, infrastructure projects and financings. We have capability from negotiations, structuring – drafting and settling term sheets, negotiating terms, advising on key issues, drafting transaction documents, through to ensuring perfection of documents and completion.

To name a few- the Attorney-General vrs Balkan Energy- HFC Bank (Ghana) Limited vrs Republic Bank Limited; La Wireless Case and Naos Holdings Limited v. Ghana Commercial Bank Limited. Our lawyers can guide you through the most complex disputes-from the start of the dispute to its resolution. Our focus in this area is commercial property-starting from initial due diligence enquiries up to arranging for the registration of the acquisition for local and international clients. Our expertise extends to arranging and advising on acquisitions of land for investment and for infrastructure developments from inception through to preparing the full spectrum of documents- sale and purchase agreements, conveyances and conducting in depth title due diligences.
We recognise that having a full understanding of the extent of due diligence that must be conducted in respect of real estate matters in Ghana is crucial.

ESG
The changing legal landscape in the ESG space requires companies to ensure that they keep abreast with regulatory requirements- from direct to indirect responsibilities. ESG legal requirements have undergone a major overhaul worldwide including in Ghana and regulated entities such as banks and extractive industry players have increasing ESG reporting requirements and are required to maintain policies addressing these issues.
We offer advisory services in this field- from assisting in designing ESG policies to reviewing existing policies against international standards and conducting trainings.
